These Terms and Conditions (the "Terms") govern your access to and use of the HOKI platform, including the HOKI website at hokipet.com, mobile applications, AI-powered features, and all related services (collectively, the "Platform"). The Platform is operated by HOKI VPET INC ("HOKI," "we," "us," or "our"). By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform.

1. Acceptance of Terms

By accessing, browsing, or using this Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. These Terms apply to all users of the Platform, including pet owners, veterinary professionals, and any other visitors.

2. Description of Services

HOKI is an AI-powered pet health platform that provides the following services:

  • Pet Profile Management: Create and manage health profiles for your pets.
  • Report Upload and AI Analysis: Upload veterinary lab reports (blood tests, urinalysis, fecal tests, chemistry panels, and more) for AI-powered extraction and analysis via optical character recognition (OCR) and large language models.
  • AI Chat Assistant: An AI-powered veterinary assistant that answers pet health questions, explains lab results, and provides general care advice personalized to your pet's profile and health history.
  • Health Insights: Longitudinal tracking of your pet's lab values to visualize trends and flag potential concerns.
  • Feeding Plans: AI-generated feeding recommendations tailored to your pet's health profile and dietary needs.
  • Report Export: Export AI-generated report analyses as PDFs to share with your veterinarian.

3. Important Medical Disclaimer

THE PLATFORM IS NOT A SUBSTITUTE FOR PROFESSIONAL VETERINARY CARE. The AI-generated analyses, insights, chat responses, and feeding plans provided through the Platform are intended for informational and educational purposes only. They do not constitute veterinary advice, diagnosis, or treatment.

  • Always consult a licensed veterinarian for medical decisions regarding your pet's health.
  • Do not disregard, delay, or alter professional veterinary advice based on information obtained through the Platform.
  • In case of a pet health emergency, contact your veterinarian or an emergency animal hospital immediately.
  • AI outputs may contain errors or inaccuracies. You are solely responsible for how you use the information provided.

4. Account Registration and Authentication

  • Eligibility: You must be at least 18 years of age to create an account and use the Platform.
  • Account Creation: You may register using email or through third-party single sign-on (SSO) providers, including Google and Apple. By authenticating through a third-party provider, you authorize us to access certain account information from that provider in accordance with our Privacy Policy.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately if you suspect unauthorized access.
  • Account Accuracy: You agree to provide accurate and complete information when registering and to keep your information current.

5. Subscription Plans and Billing

  • Plans: The Platform offers multiple subscription tiers (including free and paid plans) with varying features and limits, such as the number of pet profiles you can create.
  • Billing: Paid subscriptions are billed in advance on a recurring basis. You agree to pay all fees associated with your selected plan.
  • Plan Changes: You may upgrade or downgrade your subscription at any time. Changes take effect at the start of the next billing cycle unless otherwise stated.
  • Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period.

  • Price Changes: We reserve the right to modify pricing with reasonable advance notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

6. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws.
  • Transmit any viruses, worms, or other malicious code.
  • Attempt to gain unauthorized access to any portion of the Platform, other accounts, or computer systems.
  • Interfere with or disrupt the operation of the Platform or its infrastructure.
  • Collect or harvest any personally identifiable information from other users without their consent.
  • Use any robot, spider, scraper, or other automated means to access the Platform without our express written permission.
  • Reverse engineer, decompile, or attempt to extract the source code of any AI models, algorithms, or proprietary technology used in the Platform.
  • Upload content that is fraudulent, misleading, defamatory, obscene, or otherwise objectionable.
  • Impersonate any person or entity or falsely represent your affiliation with a person or entity.
  • Violate any intellectual property rights of HOKI or any third party.

7. User Content and Pet Data

  • Your Content: You may upload veterinary reports, pet photos, health records, and other content ("User Content") to the Platform. You retain ownership of your User Content.
  • License Grant: By uploading User Content, you grant HOKI a non-exclusive, royalty-free, worldwide license to use, process, analyze, store, and display your User Content solely for the purpose of providing and improving the Platform's services to you.
  • AI Processing: Your User Content, including uploaded reports and pet health data, is processed by AI models to generate analyses, insights, and recommendations. By using the Platform, you consent to this processing.
  • Accuracy: You represent that any User Content you provide is accurate to the best of your knowledge. We are not responsible for inaccurate analyses resulting from incomplete or incorrect input data.
  • Removal: We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, at our sole discretion.

8. Intellectual Property

  • Ownership: The Platform and its original content, features, AI models, and functionality (including but not limited to text, graphics, logos, images, software, and code) are the property of HOKI VPET INC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
  • Limited License: We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for your personal, non-commercial use in accordance with these Terms.
  • Restrictions: You may not reproduce, modify, distribute, display, perform, publish, license, create derivative works from, or sell any content or information obtained from or through the Platform without our express written permission.
  • Trademarks: HOKI, HOKI VPET, and associated logos are trademarks of HOKI VPET INC. You may not use these trademarks without our prior written consent.

9. Third-Party Services

  • The Platform integrates with third-party services, including authentication providers (Google, Apple), payment processors, and cloud infrastructure providers.
  • Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.
  • We may use third-party AI model providers to power certain features of the Platform. Your data is processed in accordance with our Privacy Policy.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT, ANALYSES, OR RECOMMENDATIONS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOKI VPET INC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, ANY DAMAGES ARISING FROM RELIANCE ON AI-GENERATED CONTENT OR RECOMMENDATIONS. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless HOKI VPET INC, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your User Content; (d) your reliance on AI-generated content or recommendations; or (e) your violation of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Platform shall be instituted exclusively in the federal or state courts located in the State of Delaware. You irrevocably submit to the personal jurisdiction of such courts and waive any objection to the venue of such courts.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HOKI VPET INC regarding your use of the Platform and supersede all prior and contemporaneous agreements and understandings, whether written or oral.

15. Waiver and Severability

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall continue in full force and effect.

16. Modifications to the Terms

We reserve the right to modify these Terms at any time. We will post any changes on this page and update the "Last Updated" date at the top. For material changes, we will provide notice through the Platform or via email. Your continued use of the Platform after the posting of changes constitutes your acceptance of the modified Terms.
